What is a shelf company in Luxembourg?
A shelf company is a company that has already been incorporated and registered with the Luxembourg Trade and Companies Register, and that is transferred to a new owner through a sale of its shares. On this site the companies are described as available companies.
Who can buy a company through this site?
Any person or company that can be identified. Requests that do not allow the requester to be identified receive no reply, for anti-money-laundering reasons and in order to deal with serious requests first.
What are the steps?
The process is short and sequential.
- You send an identified request through the contact page.
- Your request, and the person making it, are looked at first.
- If it is accepted, the necessary information is exchanged and, where relevant, you are introduced to independent professionals.
- The terms are agreed in writing between the parties and the shares are transferred.
Do I need to travel to Luxembourg?
Not necessarily. Exchanges can be made remotely. Some formalities, such as a notary or a bank, can require attendance or a power of attorney depending on the professionals involved.
Can I be represented?
Yes, by a representative holding a written power of attorney, provided the person represented is identified as well.
What does the company come with?
A company that is already registered, with its legal form and its corporate object. No service is included: domiciliation, accounting, banking and tax filings are separate matters, handled by the independent professionals you choose.
Can I choose the legal form?
The forms currently available are shown on the home page: S.à r.l., S.A.S., S.A., SCS and SCI. The list changes as companies are sold.
Can the name or the corporate object be changed?
In general yes, by amending the articles of association, following the rules of the legal form and the formalities of the Register.
What do I have to do after the purchase?
The company has the same obligations as any other: bookkeeping, filing of annual accounts, keeping the register of beneficial owners up to date, tax returns and a registered office. See the guide on acquisition or incorporation.
How long does it take?
There is no fixed timetable. It depends on the identification of the parties, on the professionals involved and on the formalities of the legal form.
How much does it cost?
The price is available on request. It depends on the form, the year and the situation of the company, and it is disclosed after identification.
General information only. It is not legal, tax or accounting advice. This site introduces you to independent professionals and provides no such service.
