Three ways out

Many Luxembourg companies have lost their registered office, their accountant or their directors. We introduce you to independent professionals who can solve the situation. We do not act in your place and we do not hold your company.

1

Restore compliance

Registered office, bookkeeping, filing of annual accounts, directors, auditor where required.

2

Voluntary liquidation

Close the company in an orderly way, with a liquidator and no unpaid obligations left behind.

3

Transfer, where there are no debts

If the company has no debts and you wish to hand it over, we can introduce you to interested parties. The transaction is concluded directly between the parties and their advisers.

Voluntary liquidation

  1. Review of the situation: accounts filed, registered office, debts, assets, shareholders.
  2. Shareholders decide the dissolution and appoint a liquidator.
  3. The liquidator realises the assets and settles creditors.
  4. Closing of the liquidation, filing with the Trade and Companies Register, and keeping of the books.

A company that cannot pay its debts follows a different, judicial procedure. The professional will tell you which route applies.

Our role. For any company belonging to a third party, we act only as an introducer. We are not party to the transaction, we do not negotiate on behalf of anyone and we do not receive or handle the funds. The price is paid directly by the buyer to the seller.

Dormant company and PDAL

A company with no registered office, no activity or no filed accounts may be exposed to the administrative dissolution procedure without liquidation (PDAL) run by the Luxembourg authorities.

Once started, this procedure leads to the company being dissolved and struck off without a liquidator, which can leave open questions for its shareholders, creditors and directors. Acting before the procedure begins keeps the options available: restoring compliance, an orderly voluntary liquidation or, where there are no debts, a transfer to a new owner.

A company with debts cannot simply be handed over: in that case the routes are restoring compliance or liquidation. Each situation is reviewed on the basis of the documents you provide, after identification.
